Article I: Purpose & Aggregator Function

Tomorrow Fund LLC is formed for the express purpose of serving as an aggregator and ministerial facilitator of member-initiated capital requests. The Company does not sponsor or offer proprietary investment programs. The Company aggregates capital upon explicit request by two (2) to one hundred (100) capital account holders to meet institutional minimums in external third-party funds or co-acquire real estate under terms defined and accepted by the participating members.

Article II: Capital Contributions & Strict No-Debt Policy

Each member’s interest is reflected directly in their designated Capital Account. Contributions made via ACH or wire immediately credit the member’s Cash Balance on a 1-to-1 USD basis in FDIC-insured program banks.

Absolute Prohibition of Debt: The Company is strictly prohibited from incurring debt, taking loans, or utilizing leverage. All acquisitions (including real estate) must be 100% cash funded by participating capital account holders through their respective balances.

Article III: Member Request Model & Real Estate Operations

All investment placements are 100% initiated, directed, and controlled by capital account holders. For real estate acquisitions, participating members conduct negotiations on behalf of the Company (subject to officer approval) and independently select third-party property management companies to oversee the assets. The Company is not a property manager.

Article IV: Ministerial Role & Disclaimer of Investment Advice

The Company and its staff act exclusively in a ministerial capacity (executing requested agreements, aggregating funds, and distributing revenues). Tomorrow Fund LLC does not determine investment strategies, manage discretionary assets, or provide financial, investment, legal, or tax advice.

Article V: Revenue Distribution & K-1 Passthrough Reporting

Net revenues and rental proceeds received from third-party managers are distributed directly to the capital account holders participating in that specific investment. Each member’s respective IRS Form K-1 reflects solely the income, gains, and losses from the specific investments they requested and funded.
